Looking for a Needle in a Foreign Haystack: Due Diligence Review on Corporate Pitfalls in Other Jurisdictions
Any corporate due diligence review is only successful if the respective checklists are sufficiently comprehensive. In most cases the local advisor will point out the jurisdiction's particularities. However, in an international transaction the lead lawyer's understanding for the main issues is crucial. During this program lawyers from different jurisdictions and continents will compare their corporate checklists and discuss what they usually check and why they do so. They will also point out special pitfalls in their jurisdictions. Further, the session takes advantage of the presence of dozens of experienced M&A lawyers in the audience who are invited to participate actively and to add their checking points.
